End-User License Agreement (EULA)

This End-User License Agreement (“Agreement”) is a legal contract between Professional Business Solutions WA, LLC, doing business as PBSWAS and PBSWA (“Provider”, “we”, “us”, “our”), and the individual or organization (“User”, “you”, “your”) accessing or using our software, connectors, automations, or related online services (collectively, the “Service”).

By installing, connecting, or using the Service—including any integration between QuickBooks Online, Microsoft Power Automate, Power Apps, or other third-party platforms—you agree to be bound by this Agreement. If you do not agree, do not use the Service.

1. Grant of License

  • We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business operations in accordance with this Agreement.
  • You may not sublicense, lease, rent, sell, or otherwise distribute the Service to any third party.

2. Ownership

All intellectual-property rights in the Service, including scripts, flows, templates, and documentation, remain the exclusive property of Professional Business Solutions WA, LLC. This Agreement does not transfer ownership of any intellectual property.

3. Permitted & Prohibited Use

You agree to:

  • Use the Service only for lawful purposes.
  • Comply with all applicable laws and the terms of third-party platforms (e.g., Intuit and Microsoft).

You agree not to:

  • Reverse-engineer, decompile, or attempt to derive source code.
  • Circumvent security or authentication features.
  • Interfere with system integrity or performance.
  • Misrepresent or falsely imply association with any third party.

4. Third-Party Services

The Service relies on APIs and platforms provided by Intuit QuickBooks Online and Microsoft Power Platform. Use of those services is governed by their respective terms of service and privacy policies. We are not responsible for availability or performance of third-party systems.

5. Data Handling & Privacy

  • We process accounting and contact information you authorize solely to perform automations and reports (e.g., Aged Receivable Detail).
  • We do not sell or share your data.
  • OAuth access tokens may be stored only as needed to maintain authenticated connections you authorize.
  • We follow commercially reasonable security practices.

6. Updates & Maintenance

We may provide updates, enhancements, or bug fixes. Such updates are subject to this Agreement and may be installed automatically. We may discontinue or modify features at any time with reasonable notice.

7. Fees & Payment

If a paid plan or consulting engagement applies, payment terms are defined in the associated invoice, statement of work, or online order. Failure to pay may suspend or terminate your license.

8. Support

Basic support is available via email at contact@pbswas.com. Response times are commercially reasonable during normal business hours (Pacific Time).

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES—EXPRESS, IMPLIED, OR STATUTORY— INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee error-free or uninterrupted operation.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROFESSIONAL BUSINESS SOLUTIONS WA, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE DURING THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless PBSWAS, its members, employees, and affiliates from any claims, damages, or expenses (including attorneys’ fees) arising out of your misuse of the Service or violation of this Agreement.

12. Termination

This Agreement remains effective until terminated. We may suspend or terminate access immediately if you breach any term. Upon termination, you must cease using the Service and revoke any connected authorizations. Sections 2, 5, and 9–12 survive termination.

13. Export Compliance

You represent that you are not located in a country embargoed by the U.S. government and are not on any restricted-party list. You agree to comply with all export-control laws applicable to the Service.

14. Governing Law & Venue

This Agreement is governed by the laws of the State of Washington, USA, without regard to conflicts of law. Any disputes shall be resolved exclusively in the state or federal courts located in Kittitas County, Washington.

15. Entire Agreement & Changes

This Agreement, together with our Privacy Policy, constitutes the entire agreement regarding your use of the Service. We may modify it from time to time; the revised version will be posted with a new “Last Updated” date.
